Terms of Use

These are the rules that frame your use of the website and any enquiry you send us. Written to be clear to a buyer, useful to an architect, and enforceable in court.

1. Acceptance of these Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Basantile. By accessing or using basantile.com (the “Site”), browsing the catalog, messaging the Basantile trade desk on WhatsApp, requesting a callback, or submitting an enquiry through any channel, you confirm that you have read, understood, and irrevocably accepted these Terms in their entirety. If you do not agree to any part of these Terms, you must cease all use of the Site immediately.

These Terms are read together with our Privacy Policy and Cookies Policy, which are incorporated by reference and together constitute the entire agreement between you and Basantile in relation to your use of the Site, superseding all prior representations, communications, or understandings.


2. Definitions

In these Terms, unless the context requires otherwise:

  • “Basantile”, “we”, “us”, “our” means the brand and entity operating from Sector 6, Karnal, Haryana 132001, India, including its proprietors, directors, partners, employees, agents, contractors, affiliates, successors, and assigns.
  • “You”, “your”, “User” means any natural or legal person who accesses, browses, or otherwise interacts with the Site or sends us an Enquiry through any channel.
  • “Catalog” means the curated and editorially-presented set of tiles, surfaces, finishes, and adjacent products displayed on the Site at any given time, together with associated photography, copy, and metadata.
  • “Content” means all text, photography, illustrations, design, code, layout, branding, trademarks, and any other material made available on or through the Site.
  • “Enquiry” means any contact-form submission, quote request, callback request, WhatsApp message, email, or other communication you send to Basantile through any channel.
  • “Applicable Law” means the laws of India and any rules, regulations, notifications, or judicial pronouncements made thereunder, as in force from time to time.

3. Eligibility & capacity

By using the Site, you represent and warrant that you are at least eighteen (18) years of age and competent to enter into a binding contract under the Indian Contract Act, 1872, or, where you are using the Site on behalf of an entity, that you are duly authorised to bind that entity to these Terms. If either representation is untrue, you must not use the Site.

The Site does not host customer accounts, online checkout, payment processing, or any purchase journey. There is nothing to register for, log into, or pay for on the Site. Any commercial supply of goods is concluded only through a separate written agreement executed after an Enquiry.


4. Nature of the catalog

The Catalog, together with all photographs, finish renderings, indicative prices, lead-time estimates, technical specifications, application notes, and editorial copy, is provided for general informational and shortlisting purposes only. None of it constitutes an offer, a representation as to fitness for any particular purpose, a guarantee of availability, or a binding commercial commitment of any kind.

Tile, marble, natural stone, and engineered surfaces have inherent batch-to-batch variation. Veining, undertone, edge profile, shade, calibration, and finish can shift between lots, between consignments, and even within a single SKU. Photography reproduces material under controlled lighting and may differ materially from goods supplied under any subsequent agreement, within trade-typical tolerance. You acknowledge and accept this variation as a feature of natural and semi-natural materials and waive any claim arising solely from such variation.

The Catalog is curated and edited continuously. SKUs may be added, withdrawn, renamed, recategorised, or substituted at our sole discretion and without notice. We give no warranty, express or implied, that any item shown today will remain available, retain its current price, or remain on the Site at all.


5. Enquiries

Basantile operates an enquiry-led model. The Site exists to help you shortlist; any commercial relationship begins, if at all, only when both parties execute a separate written agreement following an Enquiry. The submission of an Enquiry, the act of receiving an Enquiry, and any preliminary correspondence in response to an Enquiry — including quotations, sample dispatches, or indicative timelines — do not, individually or collectively, constitute a binding offer, an acceptance, or a contract for the supply of goods or services. We reserve the right to decline, ignore, or discontinue any Enquiry at our sole discretion and without giving reasons.

When you submit an Enquiry, you represent and warrant that the contact and project information you have provided is true, accurate, current, and complete, and that you are lawfully authorised to share it. We may follow up on the channel through which the Enquiry came in (WhatsApp, email, telephone, or otherwise), strictly in connection with that Enquiry. You may instruct us to cease such communications at any time by writing to [email protected].


6. Acceptable use of the Site

You agree that you will not, and will not permit any third party acting on your behalf to:

  • Reproduce, republish, distribute, resell, sub-licence, or commercially exploit any part of the Site, the Catalog, or the Content without our prior written permission;
  • Scrape, crawl, mass-download, mirror, frame, or systematically harvest pages, images, pricing, metadata, or any other Content, whether manually or by any automated means;
  • Use the Site, the Catalog, or any Content to train, fine-tune, evaluate, or augment any machine-learning model, large language model, or generative-AI system, in whole or in part, without our prior written permission;
  • Misrepresent your identity, post unlawful, defamatory, obscene, infringing, or misleading content, or impersonate any person or entity;
  • Interfere with the operation, integrity, or security of the Site, attempt to probe, scan, or test the vulnerability of any system, breach or circumvent any security or authentication measure, or access any part of the Site not intended for public use;
  • Submit unsolicited, spam, fraudulent, abusive, or repetitive Enquiries, or use the Enquiry channels to harass any person;
  • Use any robot, spider, headless browser, or other automated means that places load on the Site beyond that which a human visitor would generate;
  • Use the Site in any manner that violates Applicable Law or any third-party right.

We reserve the right, at our sole discretion and without notice or liability, to refuse service, block IP addresses or networks, restrict or terminate access, remove Content, and take any other action we consider reasonable to protect the Site, the trade desk, our enquirers, and our legitimate interests, in addition to any remedy available to us at law or in equity.


7. Intellectual property

All Content on the Site — including, without limitation, the editorial copy, the product and lifestyle photography, the page designs and layouts, the Basantile name, wordmark, logo, get-up, and curation patterns — is owned by, or licensed to, Basantile and is protected by Indian and international copyright, trademark, design-right, and other intellectual-property laws. All rights not expressly granted to you in these Terms are reserved.

You are granted a limited, revocable, non-exclusive, non-transferable, and non-sub-licensable licence to access and view the Site for your personal, non-commercial shortlisting use, and to share links to our pages. Any other use — including, without limitation, copying, downloading, adaptation, reproduction, public display, redistribution, the listing of our SKUs on any other platform, or any commercial exploitation — is strictly prohibited without our prior written permission. Unauthorised use entitles us to seek injunctive relief and damages, in addition to any other remedy.


8. Third-party links & services

The Site may contain links, references, or integrations to third-party websites, services, social platforms, or content providers. Such links are provided solely for convenience and context. Basantile does not control, endorse, sponsor, or assume any responsibility for the availability, accuracy, content, terms, security, or privacy practices of any third-party destination. Your access to and use of any such destination is entirely at your own risk and subject to the terms of that third party. We disclaim all liability arising from your access to or use of any third-party site or service.


9. Disclaimers & no warranties

To the fullest extent permitted by Applicable Law, the Site, the Catalog, and all Content are provided strictly on an “as is”, “as available”, and “with all faults” basis, without warranty of any kind, whether express, implied, statutory, or otherwise. Basantile expressly disclaims, to the maximum extent permitted by Applicable Law, all warranties and conditions, including, without limitation, any implied warranty or condition of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness, currency, non-infringement, quiet enjoyment, and any warranty arising from course of dealing, course of performance, or trade usage.

Without limiting the generality of the foregoing, Basantile does not warrant or represent that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) the Site, its servers, or any communication sent from it will be free of viruses, malware, or other harmful components; (c) any defect or error in the Site will be corrected; (d) the Catalog, photography, indicative pricing, lead times, dimensions, finishes, application notes, or any other Content will be accurate, current, complete, or remain unchanged between visits; (e) representative photography will match any goods that may eventually be supplied under a separate written agreement; or (f) your use of the Site will achieve any particular result.

Any reliance you place on the Site or any Content is strictly at your own risk. Nothing on the Site constitutes professional, technical, design, structural, installation, legal, financial, or commercial advice. You are solely responsible for verifying the suitability of any material for your project, including by obtaining physical samples, professional advice, and a separate written agreement before placing reliance on any specification.

Nothing in this clause is intended to limit, exclude, or modify any non-excludable consumer right available to you under the Consumer Protection Act, 2019 or any other Applicable Law.


10. Limitation of liability

The Site is informational and is provided to you free of charge. Basantile is not the seller of any goods through the Site itself. Any commercial supply of goods or services is governed exclusively by a separate written agreement executed after an Enquiry, and the limits of liability set out in that agreement (and not these Terms) will govern any claim relating to such supply.

To the maximum extent permitted by Applicable Law, you use the Site entirely at your own risk and Basantile, together with its directors, partners, employees, agents, contractors, affiliates, and licensors (the “Released Parties”), shall not be liable to you or to any third party for any loss, damage, cost, expense, or liability — whether direct or indirect, foreseeable or unforeseeable, in contract, tort (including negligence), strict liability, or under any other legal theory — arising out of or in any way connected with: (a) your access to, use of, or inability to access or use the Site; (b) any reliance you place on the Catalog, photography, indicative pricing, lead times, specifications, articles, or any other Content; (c) any interruption, error, defect, omission, virus, security incident, data loss, or unauthorised access affecting the Site; (d) any act or omission of any third party, including any third-party site, service, or destination linked from the Site; or (e) any Enquiry you submit, including the timing, form, content, or outcome of any response (or absence of response) from Basantile.

Without limiting the foregoing, in no event shall the Released Parties be liable for any indirect, incidental, special, punitive, exemplary, or consequential loss or damage of any kind, including, without limitation, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of anticipated savings, loss of contracts, loss of or corruption to data, project delay, wasted management time, or wasted expenditure, even if Basantile has been advised of the possibility of such loss or damage and even if a remedy fails of its essential purpose.

If, notwithstanding the foregoing, any of the Released Parties is found liable to you for any matter arising out of or in connection with the Site or these Terms, the total aggregate liability of the Released Parties to you, taken together for all claims, shall not exceed the lower of (i) ₹10,000 (Indian Rupees ten thousand only); or (ii) the total amount, if any, that you have actually paid to Basantile in the twelve (12) months immediately preceding the event first giving rise to the claim. You acknowledge and agree that this cap is a fair and reasonable allocation of risk in light of the fact that the Site is provided free of charge, on an enquiry-led basis, and without any payment passing through it.

Any claim against Basantile arising out of or in connection with the Site must be commenced in writing, with full particulars, within six (6) months of the date on which you first became aware, or with reasonable diligence ought to have become aware, of the facts giving rise to the claim. Claims notified after that period are time-barred to the maximum extent permitted by Applicable Law.

Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded under Applicable Law, including (where applicable) liability for fraud or fraudulent misrepresentation, gross negligence, or death or personal injury caused by negligence; nor does anything in these Terms reduce any non-excludable right of a “consumer” under the Consumer Protection Act, 2019.


11. Indemnity

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable legal fees on an indemnity basis) suffered or incurred by any of the Released Parties arising out of or in connection with: (a) your breach of these Terms or any representation or warranty made by you under them; (b) your misuse of the Site, the Catalog, or any Content; (c) any unauthorised reproduction, redistribution, or commercial exploitation of the Catalog or Content by you or any person acting on your behalf; (d) your violation of Applicable Law or any third-party right (including any intellectual-property, privacy, or publicity right); or (e) any Enquiry, content, or information submitted by you. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defences.


12. Force majeure

Neither party shall be liable for any delay or failure in performing any obligation under these Terms (other than an obligation to pay money) if and to the extent that such delay or failure is caused by an event beyond the reasonable control of that party, including, without limitation, acts of God, natural disasters, fire, flood, earthquake, epidemic, pandemic, war, armed conflict, civil unrest, terrorism, embargo, strike, labour dispute, governmental action or order, change in law, telecommunications or internet failure, power outage, or infrastructure disruption. The affected party shall give prompt written notice to the other and shall use commercially reasonable efforts to resume performance.


13. Suspension & termination

You may stop using the Site at any time. Basantile may, at its sole discretion and without notice or liability, suspend, restrict, or terminate your access to the Site (or any part of it) where it reasonably believes that you have breached these Terms, that continued access would expose us, our enquirers, or any third party to legal, security, or operational risk, or where required by Applicable Law. Termination is without prejudice to any accrued right or remedy. Sections that by their nature are intended to survive termination — including, without limitation, Definitions, Acceptable Use, Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, Governing Law, Dispute Resolution, and Severability — shall survive termination of these Terms and continue in full force and effect.


14. Governing law & jurisdiction

These Terms, the Site, and any non-contractual obligation arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to any conflict-of-laws principle. Subject to Section 15 (Dispute Resolution), the courts at New Delhi shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with these Terms or your use of the Site, and you irrevocably submit to the personal jurisdiction of such courts and waive any objection on the grounds of venue or forum non conveniens.


15. Dispute resolution

Most disputes begin as misunderstandings. Before commencing any formal proceeding, you agree to write to Basantile at [email protected] with the subject line “Dispute”, setting out a clear description of the matter, the relief sought, and any supporting documents. Basantile will respond in good faith and the parties will attempt to resolve the matter through direct negotiation.

If a dispute is not resolved within thirty (30) days of the date of written notice, the parties shall first refer it to mediation conducted in New Delhi, in the English language, under any framework agreed by the parties at the time. If mediation fails or is declined, the dispute shall be finally resolved by the courts of New Delhi in accordance with Section 14. Nothing in this Section shall prevent either party from seeking urgent injunctive or interim relief from any court of competent jurisdiction at any time.


16. Severability & waiver

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, that provision shall be modified to the minimum extent necessary to render it valid, legal, and enforceable while preserving the original commercial intent of the parties; if such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

No failure or delay by Basantile in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, and no single or partial exercise shall preclude any further exercise of that or any other right or remedy. Any waiver must be in writing and signed on behalf of Basantile to be effective.


17. Assignment & entire agreement

You may not assign, transfer, charge, or sub-contract any of your rights or obligations under these Terms without our prior written consent. Basantile may assign, transfer, or novate any of its rights or obligations under these Terms at any time without notice. These Terms, together with the Privacy Policy and the Cookies Policy, constitute the entire agreement between you and Basantile in relation to your use of the Site, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, on the same subject matter.


18. Changes to these Terms

Basantile reserves the right, at its sole discretion, to amend, modify, supplement, or replace these Terms at any time, without prior individual notice. Any change will take effect upon publication on the Site, and the “Last updated” date at the top of this page will reflect the most recent revision. It is your responsibility to review these Terms periodically. Your continued use of the Site after a change has been published constitutes your acceptance of the revised Terms. If you do not agree to any change, you must cease using the Site.
